Terms and conditions when dealing with BuzinessConnected products and services

General

The Terms and Conditions, along with the Privacy Policy provided by BUZINESSCONNECTED, including but not limited to other relevant policies for BUZINESSCONNECTED.com, form the entire agreement between the involved parties regarding the subject matter outlined here. If BUZINESSCONNECTED or you choose to waive any breach or default of this agreement, such a waiver will not apply to any previous or future breach or default. The failure of either party to enforce any of their rights under this Agreement shall not be considered a waiver or relinquishment of those rights or any other rights stated here. The failure of either party to promptly demand strict adherence to or performance of any breached terms and conditions does not constitute a waiver of the right of either party, nor does it imply acceptance of the breach, and this shall not affect or diminish the later enforcement of such rights or suggest any alteration of these terms and conditions in any way. When you place an order on BUZINESSCONNECTED.com for goods or services, you are making an offer to purchase the goods or vouchers for services. For further details, please refer to our privacy policy. Please note that all your purchases are either directly from BUZINESSCONNECTED.com if the item is “Sold by BUZINESSCONNECTED,” or from a Merchant if the goods or services are offered by a Merchant. Accordingly, goods or services sold by a Merchant can only be redeemed from that Merchant, while those sold by BUZINESSCONNECTED are redeemable from BUZINESSCONNECTED.

Entire Agreement

This Agreement contains the entire agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. BUZINESSCONNECTED reserves the right to alter these terms and conditions at any point without notice, by updating the content on the BUZINESSCONNECTED website.

Merchant Service Agreement

Introduction

As a demonstration of our commitment to Malawi and Malawian entrepreneurs, BUZINESSCONNECTED Online Shopping Limited (“BUZINESSCONNECTED”, “us”), Malawi’s Largest Online Mall, has opened its online platform (“Mall”) to Malawian businesses. This allows merchants to sell their products with instant nationwide access. Merchants can enjoy all the benefits of having an online store, reaching customers throughout Malawi.

Businesses that sign up to BUZINESSCONNECTED’s Mall will receive a free microsite. BUZINESSCONNECTED will also offer additional value-added services, including marketing, customer service, and logistics partnerships to cater to customers across all districts in Malawi. Dedicated account managers will be provided to all merchants. By partnering with us, merchants can significantly increase sales and revenue while we handle the logistics of delivering their products to customers throughout Malawi.

We offer convenient payment terms for merchants’ sales proceeds and provide both prepaid and pay-on-delivery payment options for customers. To enjoy these benefits, merchants need to review and accept the terms and conditions of the BUZINESSCONNECTED Mall Service Agreement below. BUZINESSCONNECTED reserves the right to modify these Terms & Conditions at any time by updating the content on the BUZINESSCONNECTED website.

Services Rendered

The Seller agrees to compensate BUZINESSCONNECTED for the services rendered, as listed below.

Delivery of Services

BUZINESSCONNECTED will use reasonable diligence in rendering the Services offered to the Seller, which include:

An online storefront tailored to the Seller with payment gateway and escrow service at BUZINESSCONNECTED.com;
Access to SellerHQ and other account management systems;
Access to a dedicated account officer and account management services;
Access to logistics partners;
Provision of analytics;
Seller Services Helpline Number (Mon – Fri; 08:00 – 18:00);
E-marketing and other marketing services as available and appropriate.

BUZINESSCONNECTED may, at its sole discretion, add or remove Services from the above list over time. Some new services may incur separate charges, in which case the Seller will be informed before the provision of the said services.

BUZINESSCONNECTED reserves the right to alter or vary the available Services, the nature of the Services, and any charges at its sole discretion.

The Seller agrees to use reasonable diligence in providing BUZINESSCONNECTED with genuine products, up-to-date product quantity information, and accurate product information.

Compensation

For all the Services provided by BUZINESSCONNECTED under this Agreement, the Seller shall compensate BUZINESSCONNECTED with commissions or other payments as required, in accordance with the terms of the ‘Commission Structure’, which will be communicated to all sellers, agreed in advance between both parties, or detailed elsewhere on the BUZINESSCONNECTED website.

Every Merchant shall have an opening/minimum balance of MK10,000.00 (Ten Thousand Kwacha) in their BUZINESSCONNECTED Wallet upon registration. BUZINESSCONNECTED shall have the right to deduct commissions for all “Self-fulfilled Orders” directly from the Merchant’s BUZINESSCONNECTED Wallet or from their designated Bank Account if the wallet is empty.

BUZINESSCONNECTED will periodically review the category commission structure and notify the Seller of any changes by communicating directly, or by publishing the changes on the SellerHQ portal or BUZINESSCONNECTED’s website, at least fourteen (14) days before any variation in commission rate or charging structure takes effect. BUZINESSCONNECTED will remit payments for sales generated by the Seller on its platform minus the agreed commission and all applicable taxes as soon as products sold have been delivered and the applicable return period has lapsed, or as agreed between the Parties.

Confidentiality

The Seller and BUZINESSCONNECTED acknowledge and agree that the scope of work and all other documents and information related to the development of the Services (the “Confidential Information”) will constitute valuable trade secrets of BUZINESSCONNECTED. Seller shall keep the Confidential Information in confidence and shall not at any time during or after the terms of this agreement, without BUZINESSCONNECTED’s prior written consent, disclose or otherwise make available to anyone, either directly or indirectly, all or any part of the Confidential Information. Excluded from the “Confidential Information” definition is anything that can be seen by the public.

Independent Contractor

BUZINESSCONNECTED shall be deemed as an independent contractor. BUZINESSCONNECTED will be fully responsible for payment of its own income taxes on all compensation earned under this Agreement. Seller will not withhold or pay any income tax, social security tax, or any other payroll taxes on BUZINESSCONNECTED’s behalf. BUZINESSCONNECTED is also not responsible for remitting or paying VAT (Value Added Taxes) on behalf of the Seller. BUZINESSCONNECTED understands that it will not be entitled to any fringe benefits that Seller provides for its employees generally or to any statutory employment benefits, including without limitation, worker’s compensation or unemployment insurance.

Indemnification

Seller warrants that everything it gives BUZINESSCONNECTED to use in the delivery of the Services or any deliverable is legally owned or licensed to the Seller. The Seller agrees to indemnify and hold BUZINESSCONNECTED, its employees and associates harmless from any and all claims brought in the performance of the Services.

Seller shall indemnify and hold BUZINESSCONNECTED harmless in respect of any action that may be taken against it, or any claims that may be brought against it, for whatever reason and of whatever nature – including, but not limited to, breach of law, regulation and/or any of the obligations and warranties under this Contract – by any third party in respect of the Contents and/or the Services and/or any and all activities related and connected to the Contents and/or the Services, irrespective of any direct liability of the Seller (“Third Party Claim”).

Limitation Of Liability

A) Not withstanding Applicable Returns Policy

Pick up fresh returned orders from the BUZINESSCONNECTED Pick Up Centres within 7 days of notification. If not picked up, the order will be sent back to BUZINESSCONNECTED’s Warehouse, and another notification will be sent to the merchant for delivery at KOS rates.
If the item remains unrequested at the BUZINESSCONNECTED Warehouse, a notification of daily demurrage cost (MK20000.00) will be sent.
If the merchant fails to respond within 10 days, reminders will be sent daily for an additional 4 days.
Goods not picked up after 7 days and still un-requested after 14 days will be destroyed by BUZINESSCONNECTED.

B) Merchant's Agreement to Indemnify

Indemnify BUZINESSCONNECTED against third-party claims, including legal costs, arising from breaches, negligence, violations, or offences.
Provision of fake or substandard products sold as genuine.
Listing unauthorized products for sale.
Failure to meet Quality of Service Standards or engaging in illegal or fraudulent activities.

Vouchers

All vouchers purchased and printed from the BUZINESSCONNECTED.com platform are strictly promotional vouchers offered at prices below their face value and purchased by customers.

These vouchers are subject to all Terms and Conditions of BUZINESSCONNECTED Online Shopping Limited, as stipulated on this page, as well as the Terms and Conditions and Redemption Policies of the Merchant or Restaurant. Customers intending to purchase on the BUZINESSCONNECTED.com platform must adhere to the specific limitations related to the goods or services. For example, if a Merchant specifies that only one BUZINESSCONNECTED.com Voucher may be purchased by a customer, the customer must abide by this rule. If a customer purchases more than the stipulated amount and attempts to redeem the excess, the Merchant is at liberty to refuse redemption without offering any compensation or refund. In such cases, BUZINESSCONNECTED.com will not compensate the customer or provide a refund for any contraventions.

An Eatery-Specific Gift Voucher is strictly issued by that Eatery, who is also a Merchant on our platform, and not by BUZINESSCONNECTED. The Eatery or Merchant is therefore fully responsible for any and all injuries, illnesses, damages, claims, liabilities, and costs suffered by or in respect of a customer, caused in whole or in part by the restaurant or the merchant. This includes any unclaimed property liability arising from unredeemed Vouchers. Eatery-Specific Vouchers and Merchant Vouchers are redeemable “as is” only and may not be redeemed incrementally. A BUZINESSCONNECTED.com Voucher can only be redeemed at the cash value paid by the customer for it (i.e., if you paid MWK 500.00 for a BUZINESSCONNECTED Voucher, but the voucher gives you MWK 3,000.00 of value to the Merchant, the cash value that you paid is MWK 500.00 as opposed to the actual value of MWK 3,000.00).

Please note all expiration dates on Vouchers are valid and therefore govern the last date on which you can use the Voucher. In the event you do not redeem your voucher before the expiration, you automatically forfeit it, unless the law provides otherwise.

Advertising

Advertising services offered by BUZINESSCONNECTED.com include, but are not limited to, the display of certain goods, services, and information about your business from time to time.

These services may involve splashing adverts, making direct calls to you, and sending certain information to users of BUZINESSCONNECTED.com via different means, such as SMS messages or emails.

Applicable Law

This Agreement shall be governed by and interpreted and construed in accordance with the laws of The Republic of Malawi. The place of jurisdiction shall be exclusively in Blantyre, Malawi.

Jurisdictional Issues/Sale in Malawi and Abroad Only

Unless otherwise specified, the material on BUZINESSCONNECTED.com is presented solely for the purpose of sale in Malawi and abroad according to international buyers. BUZINESSCONNECTED makes no representation that materials/services on BUZINESSCONNECTED.com are appropriate or available for use in locations or countries other than Malawi.

Those who choose to access this site from other locations or countries do so on their own initiative, and BUZINESSCONNECTED is not responsible for the supply of goods, availability of services, or refunds for goods or services ordered from locations or countries other than Malawi. Compliance with local laws is the responsibility of the user, to the extent applicable.

Indemnity

You shall indemnify and hold harmless BUZINESSCONNECTED.com, its owner, licensee, affiliates, subsidiaries, group companies (as applicable), and their respective officers, directors, agents, and employees, from any claim or demand, or actions including attorneys' fees, made by you or any third party or penalty imposed due to or arising out of your use of the goods or services, or in the event you breach these Terms of Use, the Privacy Policy, and other Policies, or your violation of any law, rules, or regulations or the rights of a third party on BUZINESSCONNECTED.com.

Breach

Without limiting other remedies, BUZINESSCONNECTED.com may limit your activity, immediately remove your information, warn other Users of your actions, immediately temporarily/indefinitely suspend or terminate or block your membership, and/or refuse to provide you with access to BUZINESSCONNECTED.com website in the event, but not limited to:

If you breach the Terms of Use or Privacy Policy or other rules and policies, if any;
If BUZINESSCONNECTED.com is unable to verify or authenticate any information you provide; or
If it is believed that your actions may cause legal liability for you, other Users or BUZINESSCONNECTED.com.

BUZINESSCONNECTED.com may at any time at its sole discretion reinstate suspended users. A User that has been suspended or blocked may not register or attempt to register with BUZINESSCONNECTED.com or use BUZINESSCONNECTED.com Website in any manner whatsoever until such time that such User is reinstated by BUZINESSCONNECTED.com.

Notwithstanding the foregoing, if you breach the Terms of Use or Privacy Policy or other rules and policies, BUZINESSCONNECTED.com reserves the right to recover any amounts due and owing by you to BUZINESSCONNECTED.com and to take strict legal action including but not limited to a referral to the appropriate law enforcement or other authorities for initiating criminal or other proceedings against you.

Payment

While availing any of the payment method(s) offered at BUZINESSCONNECTED.com, BUZINESSCONNECTED.com will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to you due to:

Lack of authorization for any transaction(s), or
Exceeding the preset limit mutually agreed by you and between your "Bank(s)", or
Any payment issues arising out of the transaction, or
Decline of transaction for any other reason/s.

All payments made against the purchases/services on BUZINESSCONNECTED.com by you shall be compulsorily in Malawian Kwacha or US Dollar acceptable by the Central Bank of Malawi. BUZINESSCONNECTED.com does not accept any other form of currency with respect to the purchases made on BUZINESSCONNECTED.

Disclaimer Of Warranties And Liability

This website, all the materials and products (including but not limited to software) and services, included on or otherwise made available to you through this site are provided on BUZINESSCONNECTED.com on an “as is” and “as available” basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the foregoing paragraph, BUZINESSCONNECTED.com does not warrant that:

This website will be constantly available, or available at all; or
The information on this website is complete, true, accurate or non-misleading.

MANDATORY DECLARATION

You hereby declare that you have provided all necessary Legal Delivery Details for the shipment of the product to the destination specified by you in the Order.

Solicits gambling or engages in any gambling activity which BUZINESSCONNECTED, in its sole discretion, believes is or could be construed as being illegal;
Interferes with another user's use and enjoyment of BUZINESSCONNECTED.com Website or any other individual's use and enjoyment of similar services;
Refers to any website or URL that, in the sole discretion of BUZINESSCONNECTED, contains material that is inappropriate for the BUZINESSCONNECTED.com Website or any other Website, contains content that would be prohibited or violates the letter or spirit of these Terms of Use.
Harms minors in any way;

Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
Threatens the unity, integrity, defence, security or sovereignty of The Republic of Malawi, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
Shall not be false, inaccurate or misleading;
Shall not, directly or indirectly, offer, attempt to offer; trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.
Shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers;
You shall not use any “deep-link,” “page-scrape,” “robot,” “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Website. BUZINESSCONNECTED reserves the right to bar any such activity.

Set Off

The Seller hereby authorizes BUZINESSCONNECTED to set-off by whatever means the whole or any part of Seller’s liabilities to BUZINESSCONNECTED or its customers under this Agreement (or any other contract with us) against any funds or goods credited to or owing to the Seller under this Agreement (or any other contract with us). BUZINESSCONNECTED may exercise this right of set-off at any time, without notice to the Seller, whether either liability is present or future, cash or assets, and whether or not either liability arises under this Agreement. If the liabilities to be set off are expressed in different currencies or forms, BUZINESSCONNECTED may convert either liability at a market rate of exchange for the purpose of set-off. In the event such set-off does not fully reimburse BUZINESSCONNECTED for the amount owed, the Seller shall immediately pay BUZINESSCONNECTED such outstanding amount. The Seller shall hold harmless any financial institution that follows our request pursuant to this clause. Any exercise of BUZINESSCONNECTED’s right under this provision is without prejudice and in addition to any rights or remedies available to BUZINESSCONNECTED under this Agreement or otherwise.

Termination of Agreement

Either Party has the right to terminate this Agreement immediately and without notice in the event of a breach of obligations by the other Party.

BUZINESSCONNECTED's Right to Evict

BUZINESSCONNECTED may evict the Seller from BUZINESSCONNECTED if any of the following breaches occur:

Failing to make a product sold on BUZINESSCONNECTED Mall available for delivery within three (3) business days of the expected delivery date.
Providing fake, inferior, or substandard products sold as genuine.
Providing used, refurbished, or damaged products sold as new or unused.
Listing and selling products not authorized for sale by the appropriate regulatory body.
Failing to meet the Quality Of Service Standards (QoS) as defined in the SellerHQ ratings system.
Engaging in activities deemed illegal under Malawian law, or fraudulent or misleading.
Engaging in activities that bring BUZINESSCONNECTED or its partners/vendors into disrepute.

Amendments and Formal Warnings

BUZINESSCONNECTED reserves the right to alter these QoS rules at any time. Any changes will be published on BUZINESSCONNECTED’s website. The Seller will receive a formal warning after each incident.

Force Majeure

The Parties agree that there shall attach no liability for any inability to carry out any obligations under this Agreement if is attributable to an event of force majeure including but not limited to systems downtime, server failure, civil commotion, strikes or lock outs, war, flood, insurrection and other acts of God PROVIDED however that where an event of force majeure subsists for more than One (1) month the Party affected by such force majeure event shall be deemed to have voluntarily excused itself from the transaction contemplated by this Agreement.

Insurance

Sellers shall be responsible for insurance in relation to goods shipped to customers.

Copyright And Infringement of Trademark

BUZINESSCONNECTED respects all copyright and trademarks of others. As a Seller on our website you must in turn respect these rights. BUZINESSCONNECTED will immediately terminate or suspend a seller who infringes another’s trademark or copyright.

Independent Contractors

The Parties hereby enter into this Agreement as independent contractors, and this Agreement will not be construed to create a partnership, joint venture, or employment relationship between them. Neither Party will represent itself to be an employee of the other or enter into any agreement or legally binding commitment or statement on the other’s behalf or in the other’s name.

Restrictions and Prohibitions

All product descriptions must be true, accurate, and non-misleading.
Products sold by Sellers must not be fraudulently obtained or involve the sale of counterfeit or stolen items.
Sellers must not infringe or misappropriate any third party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy. BUZINESSCONNECTED will, at its sole discretion, disable and/or terminate the accounts of sellers who may be infringers.
Sellers must comply with all governing laws, statutes, ordinances, or regulations, including those related to privacy, publicity, export control, consumer protection, unfair competition, anti-discrimination, or false advertising.
Products and descriptions must not be defamatory, trade libelous, unlawfully threatening or harassing, or advocating, promoting, or providing assistance involving violence, significant risk of death or injury, or other unlawful activities.

Governing Law And Dispute Resolution

As regards any dispute relating in any way to your use of any BUZINESSCONNECTED Service, or to any products or services sold or distributed by BUZINESSCONNECTED or through BUZINESSCONNECTED.com. Party do hereby covenant that he/she shall not commence or maintain any suit against BUZINESSCONNECTED whether at law or in equity, but Parties shall use all reasonable endeavours to settle any dispute or difference of opinion between them, arising from or in connection with this Agreement amicably through mutual discussion.

If the dispute cannot be resolved by mutual discussions within a period of fourteen (14) days from the date of notice, such dispute or claim will be resolved by binding arbitration, rather than in court. And the decision by the arbitrator shall be final. Each party shall provide his/her own arbitrator at their own cost. Both arbitrators shall agree on a neutral arbitrator whose decision will be final. The fee for the Neutral arbitrator shall be shared equally by both parties. The Arbitration shall be carried out in accordance with the provisions of the Arbitration and Conciliation Act Cap A18 Laws of the Republic 2004 or any amendment or re-enactment thereof. The Arbitration shall take place in Blantyre, Malawi and be conducted in English Language.
